GoFlow Chat LLC (“Agency”) provides a managed AI interface powered by third-party LLMs (including Stammer.ai, OpenAI, and AWS). Agency is not responsible for outages caused by underlying providers (Force Majeure).2. AI ROUTING & LIMITATION OF LIABILITY
“AS-IS” OUTPUT: CLIENT ACKNOWLEDGES AI MAY GENERATE INACCURATE RESPONSES (“HALLUCINATIONS”).
NO WARRANTY: AGENCY IS NOT LIABLE FOR DAMAGES OR INCORRECT QUOTES CREATED BY THE AI. OUTPUTS ARE “INVITATIONS TO TREAT,” NOT BINDING OFFERS.
LIABILITY CAP: AGENCY’S TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM.3. CLIENT RESPONSIBILITIES & SMS COMPLIANCE
TCPA/FCC One-to-One Consent: Client warrants they have obtained individualized, one-to-one "Prior Express Written Consent" for all SMS/Calls. Client acknowledges that all SMS opt-out requests must be honored within 10 business days per FCC regulations.
10DLC Fees: Client is responsible for all carrier-imposed 10DLC registration and vetting fees.
Human-in-the-Loop: Client is responsible for monitoring chat logs and responding to routed leads.4. UTAH AI POLICY ACT COMPLIANCE
Continuous Disclosure: To maintain "Safe Harbor" under Utah SB 226, the AI Assistant shall clearly and conspicuously disclose its non-human status at the outset of every interaction and periodically throughout the conversation.
Cure Period: Client shall notify Agency immediately (within 24 hours) of any regulatory notice from the Utah Division of Consumer Protection to allow for a timely 10-day "cure."5. DATA & INTELLECTUAL PROPERTY
Ownership: Agency owns custom "System Prompts" and workflows. Client owns leads and business data.
Non-Disparagement: Client agrees not to disparage Agency regarding AI outputs that fall within the "As-Is" risks defined in Section 2.
Post-Termination: Client has 30 days post-cancellation to export lead data; thereafter, Agency may delete all records.6. SUSPENSION & GOVERNING
LAW Agency may deactivate services if payment is 5 days overdue. This Agreement is governed by the laws of the State of Utah. Jurisdiction: Utah County, Utah.
