GOFLOW CHAT LLC - TERMS OF SERVICE

These Terms of Service ("Terms") govern the use of services provided by GoFlow Chat LLC ("Agency", "we", "our", or "us") to business clients ("Client"). By using the Service or entering into a Service Agreement with GoFlow Chat LLC, Client agrees to be bound by these Terms.-
1. SCOPE OF SERVICE & AI DISCLOSURE
GoFlow Chat LLC provides a hosted artificial intelligence customer interaction platform ("Service") that enables businesses to deploy AI assistants on websites and digital properties.
The Service may include:• AI chat assistants
• Automated lead capture
• Message routing
• CRM integrations
• Analytics dashboards
• Automated messaging workflowsThe Service relies on third-party Large Language Models (LLMs) and automation infrastructure.
AI responses are probabilistic and may occasionally contain inaccuracies. All AI-generated responses should be treated as informational only and do not constitute binding statements, guarantees, or offers by GoFlow Chat LLC or the Client. Clients remain responsible for verifying critical information communicated through the Service.-
2. SERVICE PLANS, FEATURES & LIMITS
GoFlow Chat provides the Service through multiple subscription tiers with different capacities, features, and usage limits.
The plan selected in the Service Agreement determines the features available to the Client.STANDARD PLAN

• Human Handoff

Monthly Price: $697Includes:

Each plan includes a monthly message allowance. If a Client exceeds the included message limit:
Overage Rate: $0.20 per additional message.GoFlow Chat reserves the right to:
• notify the Client when limits are approaching
• recommend upgrading to a higher plan
• limit excessive usage that exceeds system capacityClients agree not to intentionally bypass or manipulate system limits.-
3. FEES, BILLING & REFUND POLICY
The Service includes one category of fees.Subscription Fees
Fees are due at the time of signup unless a deferred payment date is expressly agreed upon in a Service Agreement. Subsequent billing occurs automatically on the monthly anniversary of the initial payment date. Subscriptions automatically renew each month until cancelled. If a monthly anniversary date does not exist in a given month (e.g., the 31st), the billing will occur on the last day of that month.No Refunds
Due to the immediate allocation of AI resources, character limits, and infrastructure costs, all payments are non-refundable.Billing Disputes
Clients agree to contact GoFlow Chat LLC before initiating any payment chargeback. Unauthorized chargebacks constitute a material breach of these Terms and may result in service suspension or termination.-
4. SMS COMPLIANCE & 10DLC
Client warrants they have obtained Prior Express Written Consent from individuals receiving SMS messages originating from their systems. Client acknowledges consent must be one-to-one and cannot be obtained through prohibited blanket consent mechanisms.Client agrees to indemnify GoFlow Chat LLC from any claims, penalties, or legal costs arising from violations of:• TCPA
• FCC messaging regulations
• 10DLC requirementsPenalties may exceed $10,000 per violation, and Client assumes full responsibility for compliance.-
5. INTELLECTUAL PROPERTY & DATA
Agency Intellectual Property
GoFlow Chat LLC retains exclusive ownership of:• system prompts
• workflow architectures
• automation frameworks
• optimization systems
• proprietary prompt librariesClients receive a limited license to use the Service during their active subscription.Client Data
Clients retain ownership of:• lead information
• chat transcripts
• customer communicationsClient grants GoFlow Chat LLC a limited license to process such data solely to operate and optimize the Client’s AI assistant. Client data is not used to train public AI models.-
6. UTAH AI POLICY ACT (SB 226)
To maintain safe harbor protections under the Utah AI Policy Act, AI assistants deployed through the Service must disclose their non-human status at the start of interactions. If Clients modify prompts or remove disclosure language, they assume responsibility for compliance. Clients must notify GoFlow Chat LLC within 24 hours of any regulatory inquiry regarding AI communications.-
7. LIMITATION OF LIABILITY & NO GUARANTEES
GoFlow Chat LLC provides technology for customer interaction and lead capture. However, GoFlow Chat does not guarantee:• revenue increases
• sales conversions
• lead volume
• website trafficBusiness performance depends on external factors including marketing efforts, website traffic, and response times.AI Accuracy Disclaimer [NEW]
Artificial intelligence systems may occasionally produce incorrect responses ("AI hallucinations"). GoFlow Chat LLC performs monitoring and optimization but does not guarantee the accuracy of every AI-generated response. Clients remain responsible for reviewing business-critical information communicated through the Service.Deliverability Disclaimer
GoFlow Chat LLC is not responsible for failed lead notification delivery caused by:• spam filters
• SMS carrier filtering
• third-party infrastructure failuresLiability Cap
Total liability for any claim shall not exceed the total fees paid by the Client to GoFlow Chat LLC in the three (3) months preceding the claim.No Indirect Damages
GoFlow Chat LLC shall not be liable for:• lost profits
• lost data
• business interruption
• consequential damages
resulting from AI usage or service interruptions.-
8. FORCE MAJEURE
GoFlow Chat LLC is not liable for interruptions caused by events outside its control, including failures of:• AI model providers
• hosting providers
• cloud infrastructure
• internet networks-
9. TERMINATION & GOVERNING LAW
Either party may terminate service according to the cancellation terms in the Service Agreement. Clients may cancel their subscription at any time by emailing support ([email protected]). To avoid being charged for the next billing cycle, cancellation requests must be received at least seven (7) days prior to the next scheduled billing date.• service access may be revoked
• AI assistants may be disabled
• unpaid balances remain dueThese Terms are governed by the laws of the State of Utah. Jurisdiction for disputes shall be Utah County, Utah.
